These Terms of Service (“Terms”) govern your access to and use of Cadence (“the Service”), a conversational email marketing platform operated by International Awards Group Ltd (“we”, “us”, or “our”). By creating an account, sending campaigns, or otherwise using the Service, you agree to be bound by these Terms.

1. Account and eligibility

You must be at least 18 years old and authorised to act on behalf of the business or organisation you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Acceptable use

You agree to use Cadence only for lawful purposes and in compliance with applicable email marketing laws, including but not limited to the UK GDPR, PECR, CAN-SPAM Act, and any other regulations governing your recipients. You may not use the Service to send unsolicited bulk email, phishing messages, malware, or content that infringes the rights of others.

3. Your content

You retain ownership of the contacts, campaigns, and other content you upload or create. By using the Service, you grant us the limited right to process and transmit that content solely for the purpose of operating and improving Cadence.

4. Fees, billing and refunds

Some features of the Service are offered on a subscription basis. Fees are billed in advance according to the plan you select. You may upgrade, downgrade, or cancel your subscription from your workspace settings.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms.

5. Service availability

We use commercially reasonable efforts to keep Cadence available, but we do not guarantee uninterrupted service. Scheduled maintenance, third-party integrations, or factors beyond our control may occasionally affect availability.

6. Termination

We may suspend or terminate your account if you violate these Terms or if required by law. You may close your account at any time from the workspace settings. Upon termination, your right to use the Service ceases immediately.

7. Limitation of liability

To the fullest extent permitted by law, International Awards Group Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.

8. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after the changes take effect constitutes acceptance of the revised Terms.

9. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
